NAFAHUB e-art learning – Terms and Conditions of Use

Section 1. General

Your participation in and use of the NAFAHUB e-art learning site (the “Service”) is conditioned upon your acceptance of the terms and conditions contained in this Agreement. Please read this Agreement carefully. If you do not accept the Terms and Conditions stated in this Agreement, please do not use this Service. NAFAHUB.com Pte Ltd (NAFAHUB.com) reserves the right, in its discretion, to change or modify all or any part of this Agreement at any time by updating the posting of this Agreement. Your continued use of the Service constitutes your binding acceptance of this Agreement, including any changes or modifications made by NAFAHUB.com as permitted above. If, at any time, this Agreement is no longer acceptable to you, you should immediately terminate your use of the Service.

Section 2. Use of Content

2.1 The Contents of this Service may contain information, information services, interactive forums, software, graphics and other materials (collectively, “NAFAHUB Content”) that is protected by copyright, trademark or other proprietary rights of NAFAHUB.com. In addition, the Service contains information, software and other materials provided by third parties (“Third Party Content”, together with NAFAHUB Contents, the “Content”) that is protected by copyright, trademark or other proprietary rights of such parties. All Content on the Service is copyrighted as a collective work of NAFAHUB.com pursuant to applicable copyright laws. You agree to comply with any additional copyright notices, information, or restrictions contained in any Content available on or accessed through the Service.

2.2 NAFAHUB.com hereby grants you a non-exclusive, non-transferable license to use the Content, provided that you agree to the following:

i. You may only use the Content for your own personal, non-commercial purposes;

ii. You may not modify, reproduce, transmit, rent, sublicense, transfer or sell, create derivative works from, distribute, perform, display, or in any way exploit, any of the Content, in whole or in part, except as otherwise expressly permitted in this Agreement.

iii. You may not reverse-engineer any software contained in the Content; and

iv. Except as expressly permitted hereunder, you may not store electronically any significant portion of the Content. Except as expressly permitted by the copyright laws, no copying, storage, redistribution or publication of the Content is permitted without the express permission of NAFAHUB.com.

If you violate any of these Terms and Conditions, your permission to use the Content will automatically be terminated and you must immediately destroy any copies you have made of the Content.

Section 3. Limitation of Liability; Disclaimer of Warranties

The Content may contain inaccuracies or typographical errors. NAFAHUB.com, Third Party Content providers and their respective agents make no representations about the accuracy, reliability, completeness, or timeliness of the Content or about the results to be obtained from using the Service and the Content. The use of the Service and the Content is at your own risk. Changes are periodically made to the Service and may be made at any time.

3.1 NAFAHUB.com, third party content providers and their respective agents do not warrant that the service will operate error-free or that this Service and its Server are free of computer viruses and other harmful goods. If your use of the Service or the Content results in the need for servicing or replacing equipment or data, NAFAHUB.com is not responsible for those costs.

3.2 The Service and Content are provided on an 'As Is' basis without any warranties of any kind. NAFAHUB.com and its suppliers, to the fullest extent permitted by law, disclaim all warranties, including the warranty of merchantability, non-infringement of third parties rights, and the warranty of fitness for particular purpose. NAFAHUB.com and its suppliers make no warranties about the accuracy, reliability, completeness, or timeliness of the Contents, Services, Software, text, graphics and links.

In states which do not allow exclusion of implied warranties or limitation of liability for incidental or consequential NAFAHUB.com, Third Party Content providers and their respective agents shall be limited to the greatest extent permitted by law.

Section 4. Disclaimer of Consequential Damages

In no event shall NAFAHUB.com, its suppliers or any third parties mentioned on this Service, be liable for damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use the Service and the Content, whether based on warranty, contract, tort, or any other legal theory, and whether or not NAFAHUB.com is advised of the possibility of such damages.

Section 5. User Submissions

5.1 Generally, any communication which you post to the Service is considered to be non-confidential. If particular Web pages permit the submission of communications which will be treated by NAFAHUB.com as confidential, that fact will be stated in “Legal Notices” on those pages. By posting communications to the Service, you automatically grant NAFAHUB.com a royalty-free perpetual, irrevocable non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sub-license such rights through multiple tiers of sub-licensees.

5.2 As a User, you are responsible for your own communications and are responsible for the consequences of their postings. You must not do the following things: Post material that is copyrighted, unless you are the copyright owner or have the permission of the copyright owner to post it; post material that reveals trade secrets, unless you own them or have the permission of the owner; post material that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others; post material that is libelous, obscene, defamatory, threatening, harassing, abusive, profane, hateful, or embarrassing to another User or any other person or entity; post a sexually-explicit image; posts materials that contain viruses or contaminating or destructive features; post advertisements or solicitations of business (unless expressly stated or implicit as part of the Service); post chain letters or pyramid schemes; or impersonate another person. In addition, you shall not use the Service to solicit members to join other online information services that are competitive with the Service. NAFAHUB.com does not screen communications in advance and is not responsible for screening or monitoring Content posted by Users. If notified by a User of communications which allegedly do not conform to this Agreement, NAFAHUB.com may investigate and determine in good faith and its sole discretion whether to remove or request the removal of the communications. NAFAHUB.com has no liability or responsibility to Users for performance or nonperformance of such activities. NAFAHUB.com reserves the right to expel Users and prevent their further access to the Service for violating this Agreement or the law and the right to remove, reject, move or edit only Content which are abusive, illegal, or disruptive.

5.3 NAFAHUB.com does not represent or guarantee the truthfulness, accuracy, or reliability of any of communication posted by other Users or endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at your own risk.

Section 6. Content Management; Notification of Alleged Infringement

6.1 NAFAHUB.com does not have to review the Content posted by members of the Service (including any contributions by members) and is not responsible for such Content. However, NAFAHUB.com reserves the rights to reject, delete, move or edit any Content it deems unacceptable (including contributions by members and messages posted in any forum) without prior notice for any reason or for no reason at all. You shall remain solely responsible for all Content posted by you or by any other person using your account. NAFAHUB.com shall have the right, but not the obligation, to correct any errors or omissions in any Content, as it may determine is its sole discretion.

6.2 In the event you believe that any Content posted to the Service infringes on your copyright or other intellectual property rights, you may notify the Service of the alleged infringement by sending an e-mail message to admin@nafahub.com. Your notification should also include a statement that you are authorized to act on behalf of the owner of the copyright or other rights claimed to have been infringed, that you have a good faith, belief the use of the material in the manner complained of is not authorized by law or by the rightful owner of the material, and that the information in the notification is true and accurate under penalty of perjury.

Section 7. Content Notification; Termination & Repeat Infringes

7.1 If the Service receives proper notification of infringement pursuant to Section 6.2, it will remove or disable access to the challenged material and will take reasonable steps to notify the member who originally posted it that the Service has removed or disabled access to that material. The user may then submit a counter-notification by sending an e-mail message to admin@nafahub.com explaining why the user believes that material is not infringing.

7.2 Upon receipt of a counter-notification complying with the requirements of Section 7.1, the Service will promptly provide the person who submitted the original notification with a copy of the counter-notification and will replace the removed material or cease disabling access to it in not less than 10, nor more than 14, business days unless that person provides to NAFAHUB.com (via e-mail message) notification that the person has filed an action seeking a court order to restrain the subscriber from engaging in infringing activity related to the material posted to the Service.

7.3 The Service will terminate the accounts of users who repeatedly infringe the copyrights of others.

Section 8. Non-Endorsement

The Service may contain links to sites on the Internet that are owned and operated by Third parties (the "External Sites"). You acknowledge that NAFAHUB.com is not responsible for the availability of, or the content, products, and services located on or through, any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or External Sites.

Section 9. Service License

Your right to use the Service is personal to you and cannot be transferred to any other person. You are responsible for all use of your account under any password by any person whether or not authorized by you and for ensuring that all use of your account complies with this agreement.

Section 10. Proprietary Rights

NAFAHUB Content is the property of NAFAHUB.com Pte Ltd. Copyright ©, 2001. NAAFHUB.com, all rights reserved. Except as stated above, this Agreement does not grant you any intellectual property rights in the Content.

Section 11. Indemnity

11.1 You agree to indemnify, defend and hold NAFAHUB.com and its officers, directors, owners, agents, Content providers, affiliates and licensors (collectively, the " NAFAHUB.com Parties") harmless from and against any and all liability, losses, costs and expenses (including attorneys' fees) incurred by any NAFAHUB.com Party in connection with any claim arising out of any use or alleged use of your account or password by you or any person, whether or not authorized by you. NAFAHUB.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with NAFAHUB.com 's defense of such claim.

11.2 The information on this site is designed to provide accurate and authoritative information in regard to the subject matter covered. It is provided with the understanding that NAFAHUB.com is not engaged in rendering legal, accounting, or other professional service. If legal advice or other expert assistance is required, the service of a competent professional person should be sought.

Section 12. Registration Information

12.1 As part of the registration process, you will fill in certain information about yourself. You must provide accurate, complete, and current registration information and you agree to provide NAFAHUB.com with any of that information promptly after such changes occur.

12.2 By registering whether online or offline, you also are agreeing that NAFAHUB.com may store information you provide as part of the registration process and usage information and provide aggregate statistical information about members to any partners of NAFAHUB.com for the purposes of course administration and content management. NAFAHUB.com also may use such information to inform you about other publications, products and services of NAFAHUB.com and its affiliates, unless you notify NAFAHUB.com that you do not wish to receive this information. NAFAHUB.com also may deliver additional messages about the Service to you by e-mail. As a general policy, NAFAHUB.com does not disclose to third parties any specific personal identifying information about you, such as your name, address, phone number or e-mail address ("Personal Identifying Information"). NAFAHUB.com will not disclose any of your Personal Identifying Information to a third party without first notifying you and giving you an opportunity to elect not to have your Personal Identifying Information disclosed.

Section 13. Termination of Service

13.1 You may terminate your account at any time by sending NAFAHUB.com an e-mail to admin@nafahub.com. You will receive a confirmation via e-mail that your request for termination of the Service has been received, and your access will be terminated within ten business days. You will not be entitled to a refund of any payments made or any payments payable by you prior to the termination date. Any amounts paid by you are non-refundable and any amount due from you prior to the termination date shall remain due and payable in full.

13.2 NAFAHUB.com reserves the right, in its sole discretion, to restrict, suspend or terminate your access to all or any part of the Service at any time for any violation of this agreement without prior notice or liability.

13.3 NAFAHUB.com may change, suspend or discontinue all or any aspect of the Service at any time, including the availability of any Service feature, database, or content, without prior notice or liability.

Section 14. Third Party Rights

The provisions of Sections 2, 11 and 13 are for the benefit of NAFAHUB.com, Third Party Content providers and their respective employees, agents and contractors; and each such party will have the right to enforce such provisions directly on its own behalf.

Section 15. Fees & Payments

15.1 NAFAHUB.com reserves the right to change the amount of any fee or charge for the Service or to institute new fees or charges, effective on at least 30 days prior notice posted on the Service in the NAFAHUB homepage.

15.2 You agree to pay all fees and charges incurred by you or any third party using your Service account (whether or not authorized by you) at the rates in effect for the billing period in which such fees and charges are incurred, including, but not limited to applicable taxes and charges for any products or services offered for sale through the Service by NAFAHUB.com or by any third party.

15.3 You shall be responsible for obtaining all telephone, telephone access lines, computer equipment and other products or services necessary to access and use the Service. You shall be responsible for all charges associated with accessing and maintaining a connection to the Service (e.g., charges imposed by an Internet access provider, or your local telephone company).

Section 16. Governing Law

16.1 This Agreement shall be governed by the laws of Singapore.
